Please read these Terms of Service ("Terms") carefully before using the https://apothic.ai website (the "Site") and the AI development platform and services offered by Apothic AI LLC ("we," "us," "our," or "Apothic AI").

Your access to and use of the Site and Services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Services.

By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Services.

1. Description of Services

Apothic AI provides a development platform (the "Services") designed to help developers build, deploy, and manage multi-agent AI applications. The Services include, but are not limited to, agent orchestration, memory management, AI model access, and related infrastructure.

2. User Accounts

• Registration: To use our Services, you may be required to create an account. You must provide information that is accurate, complete, and current. Failure to do so constitutes a breach of the Terms.
• Security: You are responsible for safeguarding the password and API keys associated with your account. You agree not to disclose your password to any third party and to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
• Responsibility: You are responsible for all activities that occur under your account, whether or not you have authorized them.

3. Acceptable Use

You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms. You agree not to:

• Use the Services to build applications that violate any applicable local, state, national, or international law.
• Engage in any activity that infringes on the intellectual property rights or privacy rights of others.
• Reverse engineer, decompile, or otherwise attempt to discover the source code of the Services.
• Use the Services to create, train, or disseminate models or content that is deceptive, harmful, harassing, hateful, or promotes misinformation.
• Use the Services for any high-risk activities where failure could lead to death, personal injury, or severe environmental damage.
• Overload, spam, or otherwise disrupt the Services or our infrastructure.

4. Fees and Payment

• Fees: Some of our Services are offered for a fee. You agree to pay all applicable fees as described on our pricing page or in a separate agreement with us.
• Billing: We may use a third-party payment processor. Payments will be billed in advance on a recurring basis (e.g., monthly or annually) as specified in your subscription plan.
• Changes: We reserve the right to change our prices at any time. We will provide you with reasonable prior notice of any price changes.
• Refunds: All fees are non-refundable except as required by law or as explicitly stated in our refund policy.
• Taxes: You are responsible for paying all applicable taxes associated with your use of the Services.

5. Intellectual Property

• Our IP: Apothic AI LLC retains all right, title, and interest in and to the Services and the Site, including all underlying software, technology, trademarks, and documentation. We grant you a limited, non-exclusive, non-transferable, revocable license to use our Services in accordance with these Terms.
• Your IP: You (or your users) retain all right, title, and interest in and to the applications you build (your "Application") and any data or content you provide to the Services (your "User Content").
• License to Us: By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, process, store, and transmit your User Content solely for the purpose of providing, maintaining, and improving the Services for you.

6. Termination

• Termination by Us: We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
• Termination by You: You may terminate your account at any time by following the procedures on our Site or by contacting us.
• Effect of Termination: Upon termination, your right to use the Services will cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Disclaimer of Warranties

The services are provided "as is" and "as available" without any warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Apothic AI LLC does not warrant that:

A) The services will function uninterrupted, securely, or be available at any particular time or location;

B) Any errors or defects will be corrected;

C) The results or outputs of the AI models accessed through the services will be accurate, reliable, or complete.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall Apothic AI LLC, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, or goodwill, arising out of (i) your use of or inability to use the services; (ii) any conduct or content of any third party on the services; (iii) any content or outputs obtained from the services.

9. Indemnification

You agree to defend, indemnify, and hold harmless Apothic AI LLC and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Services, b) your Application, c) your User Content, or d) your violation of these Terms.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of New Mexico, United States, without regard to its conflict of law provisions.
